Cayman Islands: A Rising Hub for Decentralized Autonomous Organizations (DAOs)

New figures reveal a compelling trend: a 70% year-on-year increase in Cayman Islands foundation company registrations. This growth culminates in over 1,300 foundation companies registered by the end of 2024, with more than 400 new registrations already recorded in 2025. These structures are increasingly favored as legal frameworks for decentralized autonomous organizations (DAOs) and as ecosystem stewards for prominent Web3 initiatives.

According to a press release from Cayman Finance, the Cayman Islands are now home to numerous major Web3 projects. At least 17 foundation companies boast treasuries exceeding $100 million, highlighting the jurisdiction's growing importance in the digital asset space.

Why DAOs Are Choosing the Cayman Islands

The Cayman foundation company has emerged as a go-to tool for DAOs requiring the ability to execute contracts, engage contributors, protect intellectual property, and interact with regulatory bodies. Critically, this structure offers tokenholders a shield against personal liability for the DAO's obligations.

The legal landscape shifted significantly in 2024 with the Samuels v. Lido DAO case. A US federal judge ruled that an unincorporated DAO could be classified as a general partnership under California law, potentially exposing participants to personal liability. The Cayman foundation company directly addresses this concern, providing a separate legal entity capable of owning assets and entering into agreements, assuring tokenholders that they are not automatically considered partners. Combined with tax neutrality, a legal structure familiar to institutional investors, and a growing ecosystem of firms specializing in Web3 treasury management, the rationale for projects quietly relocating their foundations to Grand Cayman becomes clear.

While other jurisdictions have made ambitious promises, progress has been uneven. Donald Trump has repeatedly voiced his intention to transform the United States into the “crypto capital of the planet,” but only a handful of states explicitly recognize DAOs as legal entities.

Switzerland remains a leading onshore Web3 foundation center. The Crypto Valley region currently hosts over 1,700 active blockchain companies, marking a surge of over 130% since 2020. Foundations and associations represent an increasing proportion of newly established structures.

From Light-Touch Jurisdiction to Compliance Player

The upswing in Web3 foundation formation coincides with a notable shift in Cayman's regulatory stance. The arrival of the Organisation for Economic Co-operation and Development’s Crypto-Asset Reporting Framework (CARF) is prompting change. The Cayman Islands have implemented CARF through new Tax Information Authority regulations, effective from January 1, 2026.

CARF will place due diligence and reporting obligations on Cayman "Reporting Crypto-Asset Service Providers" – entities that exchange crypto for fiat or other crypto, operate trading platforms, or provide custodial services. These providers will be required to collect tax-residence data from users, track relevant transactions, and submit annual reports to the Tax Information Authority. Legal experts suggest that CARF reporting, under the current interpretation, primarily applies to relevant crypto-asset service providers such as exchanges, brokers, and dealers. This likely excludes structures that simply hold crypto assets, like protocol treasuries, investment funds, or passive foundations.

“The crucial question is whether your entity, as a business, offers a service executing exchange transactions for or on behalf of clients, including by functioning as a counterparty or intermediary or by operating a trading platform.”

In practice, many pure treasury or ecosystem-steward foundations should continue to benefit from Cayman’s legal certainty and tax neutrality without being subject to full reporting requirements, provided they are not engaged in the business of running exchange, brokerage, or custody services.
